Terms and Conditions

The terms that govern access to and use of Kredl Ltd products, services, websites, dashboards, and payer experiences.

Effective date: June 15, 2026. These Terms apply to Kredl users, schools, staff, parents, guardians, payers, and anyone accessing Kredl services.

Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of Kredl websites, dashboards, portals, payment experiences, communications, and related services.

By creating an account, accessing Kredl, or using any part of the platform, you agree to be bound by these Terms. If you are using Kredl on behalf of a school, company, or institution, you confirm that you have authority to accept these Terms on its behalf.

The Kredl Platform

Kredl provides school finance software for fee setup, bulk invoicing, payment collection, payment plans, parent access, receipts, reconciliation, reminders, audit logs, exports, and related operational workflows.

Kredl may add, remove, improve, or modify platform features from time to time. Some services may depend on third-party banks, payment processors, messaging providers, hosting providers, and other partners.

  • Schools use Kredl to configure fee structures, issue invoices, track balances, and manage student ledgers.
  • Parents and guardians may use Kredl to view invoices, make payments, access receipts, and track approved payment plans.
  • Authorized staff may use Kredl to review collections, reconcile payments, export records, and monitor activity.

Accounts and Access

You are responsible for providing accurate account information and keeping your login credentials secure. You must not share access with unauthorized persons or allow anyone to use your account in a way that violates these Terms.

Schools are responsible for assigning appropriate user roles and permissions to their staff. Kredl may suspend or restrict access where we reasonably believe an account has been compromised, used unlawfully, or used in breach of these Terms.

School Data and User Responsibilities

Schools are responsible for the accuracy, lawfulness, and completeness of the student, parent, guardian, staff, invoice, payment, and school finance information they upload or manage through Kredl.

You agree not to misuse Kredl, attempt unauthorized access, interfere with platform security, upload malicious code, impersonate another person, abuse notification features, or use Kredl for fraudulent, unlawful, or harmful activity.

Payments, Collections, and Reconciliation

Kredl may support payments through banks, payment processors, virtual accounts, transfer references, cards, or other supported channels. Payment availability, settlement timing, reversals, and processing rules may depend on third-party financial partners.

Kredl helps schools record, track, and reconcile payments, but schools remain responsible for reviewing financial records, confirming balances, approving adjustments, and resolving disputes with payers where required.

  • Payment references, virtual accounts, and reconciliation rules must be used as intended.
  • Bank delays, failed transfers, chargebacks, reversals, or network issues may affect payment status.
  • Fees, charges, and commercial terms may be set out in a separate agreement, invoice, or order form.

Payer Portal and Communications

The payer portal may allow parents and guardians to view invoices, make payments, access receipts, review ledgers, and receive reminders or updates. Schools are responsible for ensuring payer contact details are accurate and properly authorized.

Kredl may send operational communications by email, WhatsApp, SMS, in-app notifications, or other channels. Delivery may depend on third-party communication providers and recipient settings.

Acceptable Use

You must use Kredl only for lawful school finance and administrative purposes. You must not use the platform to send misleading notices, collect unauthorized payments, harass payers, compromise data, or bypass security controls.

We may investigate suspected misuse and may suspend, restrict, or terminate access where necessary to protect users, schools, payers, Kredl, or the integrity of the platform.

Intellectual Property

Kredl and its licensors own the platform, software, designs, branding, documentation, workflows, and related intellectual property. These Terms do not transfer ownership of Kredl intellectual property to you.

Subject to these Terms, Kredl grants you a limited, non-exclusive, non-transferable right to use the platform for your authorized school finance operations.

Privacy and Data Protection

Our processing of personal information is described in our Privacy Policy. By using Kredl, you acknowledge that personal information may be collected, used, stored, and shared as described in that policy.

Schools are responsible for providing appropriate notices and obtaining any required permissions or lawful basis for student, parent, guardian, and staff information submitted to Kredl.

Service Availability and Third-Party Services

We aim to provide reliable service, but Kredl may be unavailable from time to time due to maintenance, updates, outages, internet disruptions, bank downtime, payment processor issues, messaging provider failures, or events outside our control.

Kredl is not responsible for third-party services, websites, banks, payment providers, communication channels, or systems that we do not control.

Fees and Billing

Applicable fees may be described in a signed agreement, order form, invoice, pricing page, or other written communication. You agree to pay all applicable fees and taxes when due.

If fees remain unpaid, Kredl may limit, suspend, or terminate access to paid features after reasonable notice, except where immediate action is required to protect the platform or comply with law.

Limitation of Liability

To the maximum extent permitted by law, Kredl will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or reputational harm.

Kredl is not liable for losses caused by incorrect school data, unauthorized use of credentials, payer error, third-party bank delays, payment processor failures, network disruptions, or events outside our reasonable control.

Indemnity

You agree to defend, indemnify, and hold Kredl harmless from claims, damages, liabilities, costs, and expenses arising from your misuse of the platform, breach of these Terms, violation of law, inaccurate data, unauthorized instructions, or infringement of third-party rights.

Termination

You may stop using Kredl at any time. Kredl may suspend or terminate access if you breach these Terms, create risk for the platform, fail to pay applicable fees, violate law, or use the platform in a way that may harm Kredl, schools, parents, students, or partners.

After termination, provisions that by their nature should continue will remain in effect, including payment obligations, intellectual property, privacy, confidentiality, disclaimers, limitation of liability, indemnity, and dispute provisions.

Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt to resolve disputes informally and in good faith.

Where a dispute cannot be resolved informally, it may be submitted to the appropriate courts or dispute resolution forum in Lagos, Nigeria, unless a separate written agreement states otherwise.

Changes to These Terms

We may update these Terms from time to time. When changes are material, we may notify users through the platform, by email, or through another reasonable method.

Continued use of Kredl after an update means you accept the revised Terms from the stated effective date.
